PART I — GENERAL TERMS AND CONDITIONS

1. Assumption of Risk and Use of Facilities

1.1 The use of AEME Studios' training facilities and equipment, and participation in any class, course, event, or other Service, is entirely voluntary and at the Member's own risk. Fitness training — in particular training with weights and high-intensity exercise — carries an inherent risk of injury, including but not limited to muscle strain, sprains, fractures, cardiovascular events and, in rare cases, death, regardless of the care taken by AEME Studios and its staff.

1.2 By using the Services, the Member expressly acknowledges and accepts these inherent risks and confirms that they are voluntarily assuming all risk of loss, damage, illness, personal injury, or death that may result from such use, to the fullest extent permitted by Swiss law.

1.3 Members are solely responsible for judging their own physical capabilities and limits and for using
equipment correctly. Members must immediately stop any activity and inform staff if they feel unwell,
dizzy, or in pain.

2. Limitation of Liability

2.1 To the fullest extent permitted by applicable Swiss law, AEME Studios GmbH, its owners, directors, employees, trainers, and agents (together, the “AEME Studios Parties”) shall not be liable for any loss, theft, damage, injury, illness, or death suffered by a Member, guest, or third party arising out of or in connection with the use of AEME Studios' facilities, equipment, classes, events, website, or app-based services.

2.2 This exclusion applies regardless of whether the claim is based on contract, tort, strict liability, or any other legal theory, and regardless of whether the AEME Studios Parties were advised of the possibility of such loss or damage.

2.3 Nothing in these GTC excludes or limits liability for (a) death or personal injury caused by gross negligence (grobe Fahrlässigkeit) or wilful misconduct (Vorsatz) of the AEME Studios Parties, or (b) any other liability that cannot be excluded or limited under mandatory provisions of Swiss law, in particular Article 100 of the Swiss Code of Obligations. In all other respects, liability for slight and ordinary negligence (leichte und mittlere Fahrlässigkeit) is excluded to the maximum extent permitted by law.

2.4 Where liability of the AEME Studios Parties cannot be excluded under mandatory law, such liability shall, to the extent legally permissible, be limited to the amount of fees paid by the Member for the Service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability, and the AEME Studios Parties shall in no event be liable for indirect, consequential, or incidental damages, including loss of income or lost profits.

2.5 AEME Studios recommends that every Member maintain adequate personal health, accident, and liability insurance covering participation in sporting activities.

3. Health Representations and Medical Clearance

3.1 By registering for a membership or purchasing any Service, the Member represents and warrants that they are in good health, have no medical condition, physical limitation, or acute injury that would make participation in physical activity unsafe, and have not been advised by a physician to refrain from such activity.

3.2 Members with any pre-existing health condition, injury, pregnancy, or other circumstance that may affect their ability to safely use the Services must consult a physician before beginning or continuing any training and must inform AEME Studios staff of any relevant condition before participating.

3.3 The AEME Studios Parties shall not be liable for any health problems, complications, or injuries arising from a health condition known or unknown to the Member, except to the extent caused by the gross negligence or wilful misconduct of the AEME Studios Parties.

4. Personal Property

4.1 Members and guests are solely responsible for their own personal belongings brought onto AEME Studios premises. The AEME Studios Parties accept no liability for the loss, theft, or damage of personal property, whether stored in lockers or otherwise, except to the extent caused by the gross negligence or wilful misconduct of the AEME Studios Parties.

4.2 Lockers are provided for temporary use only and do not constitute a warranted or secure storage facility. AEME Studios recommends that Members do not bring valuables onto the premises.

5. Member Conduct and Damage to Property

5.1 Members must comply with all instructions and studio rules communicated by AEME Studios staff. Breach of these GTC or of studio rules will result in a warning; repeated breaches may result in suspension or termination of membership with immediate effect and without refund. A serious breach — including violent, abusive, or unsafe conduct — may result in immediate termination without prior warning.

5.2 Members are liable for any damage to AEME Studios' training facilities or equipment caused by their intentional or negligent conduct. All loaned or rented equipment remains the property of AEME Studios and must be returned in the condition in which it was received; any loss or damage must be compensated at full replacement or repair cost.

6. Workouts and Age Requirements

6.1 The minimum age for participation in classes involving the use of weights is 18 years, except for classes specifically designed for a younger age group (e.g., parent-and-baby classes).

6.2 In exceptional cases, guests under the age of 18 may participate provided that (a) they meet the physical requirements for the class, and (b) written consent of a parent or legal guardian, including acknowledgment of the risks described in Section 1 and the liability provisions of Section 2, has been provided in advance.

7. Membership

7.1 A valid membership or the purchase of a single training session entitles the Member to use the available training facilities, equipment, and Services during the regular opening hours of the relevant AEME Studios location. AEME Studios expressly reserves the right to change opening hours, locations, equipment, class schedules, or the scope of Services at any time, at its reasonable discretion.

7.2 Memberships are personal and non-transferable, unless AEME Studios expressly issues a membership designated for use by a pre-determined number of people. No refunds, credits, or discounts will be given for unused membership periods or Services, except as required by mandatory Swiss law or as expressly set out in these GTC.

7.3 If an AEME Studios location is not operational for more than one week and no suitable alternative is offered, the membership term will be extended by the period of inactivity, up to a maximum of two months. This is the Member's sole and exclusive remedy for such an interruption.

8. Registration for Classes

8.1 Members must pre-book all classes via the AEME Studios website, the MindBody app or Classpass to secure attendance.

8.2 If a class is full, Members may join a waiting list and will be notified by email if a space becomes available.

8.3 The following rules apply to class registration:

  • class cancellations must be made at least twelve (12) hours before the start of the class (“early cancellation”);
  • waiting-list cancellations must be made at least one (1) hours before the start of the class;
  • a “no-show”, or a cancellation made less than twelve (12) hours before the start of the class, will be deducted from the Member's membership entitlement or charged as a used class, as applicable; the same applies to Members moved from the waiting list at short notice.

9. Website, App and Third-Party Services

9.1 AEME Studios does not warrant, and shall not be liable for, the accuracy, completeness, or availability of information on its website, or for any direct or indirect damage resulting from the use of, or reliance on, such information, offers, or links to third-party websites.

9.2 AEME Studios is not responsible for the functionality, availability, security, or content of the MindBody app or MindBody website, or of any other third-party platform used to deliver Services, as these are operated by independent third parties.

9.3 AEME Studios does not endorse and is not responsible for the content of any linked third-party website. AEME Studios does not guarantee that its website, app, or related materials are free of viruses orother harmful components and accepts no liability for any resulting damage, except to the extent caused by its gross negligence or wilful misconduct.

10. Indemnification

To the extent permitted by law, the Member agrees to indemnify and hold harmless the AEME Studios Parties from and against any claims, damages, losses, and expenses (including reasonable legal fees) brought by any third party arising out of the Member's use of the Services, breach of these GTC, or violation of any applicable law, except to the extent such claims arise from the gross negligence or wilful misconduct of the AEME Studios Parties.

11. Data Protection

The processing of Members' personal data is governed by the AEME Studios Privacy Policy set out in Part II of this document, which forms an integral part of these GTC.

12. Severability

Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic intent of the original provision.

13. Amendments

AEME Studios reserves the right to amend these GTC at any time. The amended GTC will be published on the AEME Studios website and/or communicated to Members and will apply to all subsequent use of the Services.

14. Governing Law and Jurisdiction

These GTC are governed exclusively by Swiss law, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any dispute arising out of or in connection with these GTC shall be the registered office of AEME Studios GmbH, subject to any mandatory statutory place of jurisdiction.

PART II — PRIVACY POLICY

1. Controller

AEME Studios GmbH (“AEME Studios”, “we”, “us”, “our”), Freyastrasse 16, 8004 Zurich], Switzerland, is the controller responsible for the processing of personal data described in this Privacy Policy.

2. Scope

This Privacy Policy applies to the personal data of members, prospective members, guests, website visitors, and app users (“you”) processed by AEME Studios in connection with our studios, website, and the MindBody booking platform.

3. What Personal Data We Process

  • Identification and contact data: name, date of birth, address, email address, phone number
  • Membership and contract data: membership type, start/end dates, payment history, class bookings and attendance
  • Payment data: billing details, bank or card information (processed via our payment service providers)
  • Health-related information you voluntarily disclose in connection with Section 3 of our GTC (a special category of personal data under Art. 5 let. c of the Swiss Federal Act on Data Protection), collected only where relevant and necessary
  • Usage data: website and app usage, IP address, device and browser information, cookies
  • Video/CCTV footage, where security cameras are in use at our premises, for safety and security purposes
  • Communication data: correspondence with our staff and customer support requests

4. Purposes and Legal Basis

We process personal data to: perform and administer the membership contract (booking, invoicing, access management); ensure the safety and security of our facilities (e.g. CCTV); comply with legal and regulatory obligations (e.g. accounting, tax); send service-related communications; with your consent, send marketing communications and newsletters; and improve our website and Services (analytics). Processing is based, as applicable, on the performance of a contract, our legitimate interests, your consent, or a legal obligation.

5. Disclosure of Data / Recipients

We may share personal data with: our payment service providers and banks; MindBody Inc. and other IT and booking service providers acting as processors on our behalf; trainers and staff, on a need-to-know basis; legal, tax, and insurance advisors; and public authorities, where required by law.

6. Cross-Border Data Transfer

Where personal data is transferred to countries without an adequate level of data protection recognized by the Swiss Federal Council — including transfers to service providers such as MindBody, which may processdata in the United States — we ensure an adequate level of protection through appropriate safeguards, such as standard contractual clauses recognized by the Federal Data Protection and Information Commissioner (FDPIC) or the recipient's certification under an applicable data privacy framework.

7. Retention Period

We retain personal data only for as long as necessary for the purposes described above, in particular for the duration of the membership plus any applicable statutory retention period (e.g., ten years for accounting records under Swiss law), after which the data will be deleted or anonymized.

8. Your Rights

Subject to the conditions set out in the Swiss Federal Act on Data Protection, you have the right to: request access to and a copy of your personal data; request rectification of inaccurate data; request deletion of your data; object to or request restriction of processing; and request data portability. 9. Right to Lodge a Complaint

You have the right to lodge a complaint with the Swiss Federal Data Protection and Information Commissioner (FDPIC), Feldeggweg 1, 3003 Bern, Switzerland (www.edoeb.admin.ch), if you consider that the processing of your personal data violates applicable data protection law.

10. Data Security

We implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, misuse, or alteration, commensurate with the sensitivity of the data.

11. Cookies

Our website uses cookies and similar technologies to ensure functionality, analyze usage, and, with your consent, for marketing purposes. 12. Automated Decision-Making
